The acquisition deal centers on Crinetics' newly launched PALSONIFY drug, an oral therapy for adults with acromegaly. This move allows Vertex to expand its business beyond its primary focus on cystic fibrosis treatments.

Vertex Pharmaceuticals has agreed to buy Crinetics for $85.00 per share in an all-cash transaction. This values the company's equity at about $10 billion. As highlighted by Benzinga, Vertex anticipates over $5 billion in potential peak sales from Crinetics' assets. The boards of both companies have approved the merger agreement, which is expected to close in the third quarter of 2026.

Following the news, an analyst from Evercore ISI downgraded Crinetics stock from "Outperform" to "In Line." The analyst also set a price target of $85.00, matching the acquisition price. This change suggests that with the deal in place, there is limited room for the stock price to grow further.

The market reacted strongly to the acquisition announcement. Crinetics stock surged 98.74% to trade at $83.53, just below the offer price. This small 1.76% gap reflects that the acquisition deal is not yet finalized. The stock's daily high of $83.63 also marked a new 52-week high for the company.

However, the acquisition deal is under review. As reported by Business Wire, the law firm Halper Sadeh LLC is investigating the sale. The firm is looking into whether the $85.00 per share price is fair to Crinetics shareholders and if the board fulfilled its duties to secure the best possible offer.
